These terms govern access to getarvl.com and ARVL’s business platform, dashboards, shopper and partner applications, and related technology services provided by ARVL, LLC (ARVL). They apply to businesses, their authorized owners, administrators and team members, and participating referral partners to the extent relevant to their role. Grocery orders placed by guests are subject to the ordering terms on arvl.shop and any applicable seller terms. A separately signed agreement or expressly accepted subscription, referral, card-program, or service agreement controls if it conflicts with these general terms on the same subject.
Optional ARVL text messages
ARVL’s optional SMS program sends automated transactional and operational messages about grocery orders, shopping and delivery updates, delivery coordination, account alerts, assignments, and business order activity. The messages you receive depend on the separate opt-in you select and your role. This program does not send promotional or marketing messages. Message frequency varies with order and account activity. Message and data rates may apply.
You opt in through a separate, unchecked SMS consent control at an eligible ARVL checkout or in your own account’s SMS settings. Providing a phone number, accepting these terms, being invited to an account, or having a business administrator turn on an SMS notification rule does not give SMS consent. Consent is optional and is not a condition of purchase, account access, or work assignments. A guest checkout opt-in applies to that order, not to future marketing.
Reply STOP to opt out of ARVL text messages or HELP for help. You can also turn off account SMS in your personal notification settings. After an opt-out, restoring messages may require renewed consent and review of carrier restrictions. Contact hello@getarvl.com for assistance. Carriers are not liable for delayed or undelivered messages. Email, telephone, and other available channels can still be used to administer your order or account.
Our Privacy Policy describes how we protect mobile information and consent records. We retain the opted-in phone number, date, consent source, disclosure version, and consent and opt-out history to administer the program.
1. Agreement, authority, and scope
When you affirmatively accept these terms or an enrollment incorporating them, you enter an agreement with ARVL for the services covered by that acceptance. By accessing the site, you agree to the site-use rules to the extent enforceable under applicable law. If you act for a business, you represent that you have authority to bind it; references to you include that business where appropriate. You must be at least 18 and have legal capacity to contract. A team member may use only the access authorized by the business and ARVL.
These terms describe the technology platform. Managed fulfillment, independent-business fulfillment, referral arrangements, custom development, transition assistance, and purchasing-card programs may require separate agreements. A demonstration, invitation, sales discussion, or beta feature does not by itself guarantee activation, a migration deadline, exclusivity, financing, revenue, or a particular operational outcome.
2. Platform services and operational roles
ARVL may provide branded storefronts, catalogs, ordering, order management, shopper workflows, receipts, invoicing, payments, reporting, referral attribution, communications, and optional integrations. Availability depends on your plan, business configuration, destination, provider approval, and any written agreement. You receive a limited, non-exclusive, non-transferable right to use the services for authorized business operations while the applicable agreement and access remain in effect.
An independent business remains responsible for its own customer relationships, pricing disclosures, fulfillment, staffing, licensing, insurance, food handling, regulated-product compliance, customer support, and applicable employment or contractor obligations. ARVL does not become the employer of your staff or assume your business liabilities merely by providing software, processing a payment, or supplying a purchasing-card feature. Managed services and routed fulfillment follow the applicable operational agreement; routing does not alone change the seller or create an assignment of a customer relationship.
You must not promise guests a delivery time, substitution practice, refund, price, product, or other service that your business cannot lawfully and reasonably provide. Platform fields and automation do not replace your review or compliance responsibilities. If the platform’s behavior differs from your published commitments, notify ARVL and resolve the discrepancy before relying on it for live transactions.
3. Accounts, permissions, and security
Provide accurate information, maintain current business contacts, and use a separate authorized profile for each person. Keep credentials and account links confidential. You are responsible for assigning appropriate roles, reviewing access, and promptly removing departed or unauthorized users. Do not share a login to bypass permissions. You are responsible for activity you authorize and for reasonable protection of your account, without assuming liability for activity caused solely by ARVL’s failure to meet a non-waivable obligation.
Shoppers, administrators, and owners may have different permissions. Visibility of financials, invoices, receipts, and charging controls is governed by the configured role and service. A shopper profile does not by itself create an employment relationship, a payout entitlement, or eligibility for a card. Report suspected compromise or an incorrect permission setting promptly; do not exploit it or access another business’s information. ARVL may restrict access to investigate fraud, security issues, or a material breach.
4. Plans, fees, renewal, and cancellation
Your accepted enrollment, order form, or written agreement specifies subscription amounts, billing frequency, trials, first billing date, platform or transaction charges, and any special pricing. Those specific terms prevail over a general marketing page. Subscription enrollment and operational go-live are separate steps. Do not cancel an existing service or assume a migration is complete until the transition is confirmed.
Where you enroll in a recurring subscription, you authorize the disclosed recurring charges until cancellation takes effect. Any trial or deferred billing ends on the date disclosed during enrollment. Cancel through the available subscription-management controls or contact hello@getarvl.com for assistance before the next renewal. Cancellation ordinarily stops future renewals; it does not automatically refund completed periods, cancel outstanding orders, erase outstanding fees, or delete required transaction records. Your accepted plan and applicable law control any refund, credit, or end-of-period access.
Keep a valid payment method and pay undisputed amounts when due. Provider-imposed processing fees, disputes, refunds, payout adjustments, taxes where legally applicable, and other charges follow the disclosures and agreement governing them. We do not impose a new charge merely because this general paragraph lists a category. ARVL may suspend paid features for nonpayment after appropriate notice, subject to your agreement and applicable law. Fee changes for future periods require the notice and consent, if any, required by your agreement and law; they do not retroactively alter completed transactions.
5. Payments, payouts, refunds, and financial records
Payment and payout services depend on providers such as Stripe and may require identity verification, a connected account, provider terms, a supported bank account, and continuing approval. You authorize the payment operations you initiate or approve through the platform and those expressly permitted by your agreement. You are responsible for the accuracy of approved invoices, receipts, charges, refunds, payout instructions, and your business’s refund obligations.
Authorization is not settlement or a guarantee of funds. Provider processing, bank timing, fraud review, reserves, insufficient balances, disputes, or outages may delay or prevent a transaction. Payouts, commissions, and revenue shares follow the applicable agreement and may be adjusted for lawful refunds, disputes, errors, or reversals. Report discrepancies promptly and cooperate with documentation requests. Do not treat an order status, preview, pending balance, or export as confirmation that a bank transfer has completed.
ARVL is not your bank, accountant, tax adviser, or insurer. Reporting and accounting exports are tools that you must review for accuracy and compatibility with your records. You remain responsible for legally required taxes, returns, licenses, and records for your business. Nothing authorizes duplicate charges, misleading descriptors, unrelated use of a guest’s saved payment method, or collection of undisclosed fees.
6. Purchasing cards and shopper purchases
Where an ARVL-issued purchasing card is approved, it is subject to its issuer and program terms, authorized-user requirements, spending controls, and ARVL’s separate instructions. Card availability, funding, replacement, and physical delivery are not guaranteed by platform enrollment. Use a card only for authorized business purchases linked to the correct shopper and order, preserve receipts, and report loss, theft, unauthorized purchases, or incorrect funding promptly.
Do not share a person’s card or credentials, withdraw cash, purchase for personal use, or circumvent merchant or spending restrictions. Spending access may be reduced or disabled for security, misuse, funding limits, or program compliance. The business’s liability for purchases, reconciliation, reimbursement, and misuse is determined by the governing agreement and applicable law. Independent shoppers’ compensation is governed by their business arrangement, not by the existence of an ARVL profile or card.
7. Business content, guest information, and confidentiality
You retain your rights in business names, logos, catalogs, and other content you lawfully supply. You grant ARVL the permission needed to host, display, process, transmit, format, and back up that content to provide and support your selected services. You represent that you have the rights and necessary notices, permissions, and legal basis for the content and personal information you provide, including guest and team information. Do not upload unlawful, infringing, deceptive, or unnecessary sensitive material.
ARVL’s platform, software, designs, documentation, and trademarks remain the property of ARVL or their respective owners. Your use does not transfer ownership or authorize copying the platform, selling access, removing notices, or using ARVL branding outside the agreed service. Public testimonials or use of your brand in marketing require the permission provided in your agreement or separately obtained; operational hosting permission is not unlimited marketing permission.
Use guest and team information only for authorized service, support, records, and other lawful purposes disclosed to those persons. Do not use another business’s customer information, extract property-access codes for unrelated purposes, or contact guests under a misleading identity. The parties must protect non-public commercial and personal information against unauthorized use and disclosure, while allowing disclosures necessary to service providers, authorized personnel, or law. Separately signed confidentiality, customer non-diversion, non-solicitation, and data-processing provisions remain in force and control where applicable.
8. Google Calendar and other integrations
Optional integrations require your authority to connect the relevant account and permission to transmit the associated information. For Google Calendar, an authorized manager chooses a writable calendar and separately enables and saves synchronization. Order events may disclose guest reservation names, addresses, delivery instructions, shopper names, status, and order links to Google and people with access under that calendar’s settings. Check the calendar’s sharing permissions and obtain any notices or permissions required for your guest data. The Privacy Policy describes Google scopes, use, security, retention, and deletion.
Calendar events are planning aids and do not set or guarantee delivery appointments. Google edits do not change ARVL orders. Pausing or disconnecting stops updates and leaves events already created in Google; delete them in Google if no longer needed. Revoking a provider’s permission can interrupt service. Provider availability, account limits, permissions, approval, and API changes may affect any integration. Do not rely solely on a notification, calendar, or third-party export for an urgent operational task.
9. Referral partners and hospitality contacts
Referral links, commission amounts, eligibility, attribution, qualifying transactions, payment timing, and any refund adjustments are governed by the applicable referral agreement and enrollment disclosures. Participation does not guarantee bookings or earnings. Do not fabricate orders, refer yourself to collect an unauthorized commission, misrepresent ARVL pricing, or send unlawful marketing. Make legally required disclosures about compensated referrals and obtain permission for communications you send.
A hospitality or property contact must have authority to provide access and guest information and should give accurate access restrictions and arrival details. A referral relationship does not make the partner the seller or authorize it to bind ARVL to extra services or guarantees. Routing or attribution information is not permission to use guest data for unrelated marketing.
10. Prohibited use
Do not use the services to violate law or another person’s rights; commit fraud; harass or discriminate unlawfully; upload malware; defeat access controls; probe or disrupt systems without permission; scrape another business’s non-public data; impersonate another person; misuse payment credentials; or facilitate prohibited purchases. Do not reverse engineer or copy the services except to the extent a restriction is prohibited by law. Do not send spam or use a connected Google account for purposes outside the disclosed integration.
You may report a suspected vulnerability privately to hello@getarvl.com. Reporting does not authorize access to unrelated data, destructive testing, payment transactions, or publication of sensitive information. ARVL may investigate suspected misuse and preserve relevant records as permitted by law.
11. Availability, changes, and support
We work to maintain the services, but software and providers can experience errors, maintenance, interruptions, delays, or data loss. Features may change or be retired, subject to any service commitments in your agreement and required notice. Beta, demonstration, and preview features may be incomplete and must not be treated as a production guarantee. No service-level commitment or response time applies unless expressly agreed.
Maintain appropriate business records and contingency procedures for fulfillment, guest contact, payments, and scheduling. Review information before charging or dispatching an order. We will address reported platform issues through the available support process, but cannot guarantee a specific outcome or compensate every operational loss. Any separate transition or continuity commitment is governed by the agreement making that commitment.
12. Suspension, termination, and records
Access may end when an agreement or subscription ends, or may be restricted for material breach, fraud, unlawful activity, nonpayment, security risk, or provider requirements. Where reasonably practicable and legally appropriate, we give notice and an opportunity to resolve a remediable issue; urgent security or legal circumstances may require immediate action. Suspension does not authorize ARVL to collect fees or retain information beyond the governing agreement and law.
Coordinate open orders, refunds, card access, and guest communications before leaving the platform. Request available exports while access is active or contact support to arrange retrieval subject to legal, security, and technical limits. Cancellation does not necessarily delete transaction records, and deletion does not necessarily cancel billing. Intellectual-property, confidentiality, accrued-payment, dispute, and other provisions intended to survive termination continue to the extent applicable.
13. Disclaimers and non-waivable rights
Except for express commitments in a governing agreement and rights that cannot lawfully be excluded, the platform is provided as available and as is. To the maximum extent permitted by law, ARVL disclaims implied warranties of merchantability, fitness for a particular purpose, and non-infringement, and does not warrant uninterrupted or error-free operation, provider approval, business profitability, or that the platform alone satisfies every legal requirement for your business.
No provision excludes a warranty, remedy, duty, or liability that applicable law makes non-waivable, or excuses fraud, willful misconduct, or gross negligence where such exclusion is unlawful. Separate express service commitments are not nullified by a general disclaimer.
14. Limits of liability
To the maximum extent permitted by law and except as otherwise provided in a separately signed agreement, ARVL is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or lost profits, revenue, goodwill, or business opportunity arising from platform use, even if advised of the possibility. For claims arising from the technology services, ARVL’s aggregate liability is limited to the platform fees you paid ARVL for the affected services during the twelve months preceding the event giving rise to the claim, or $100 if greater. Guest grocery charges and funds processed for third parties are not platform subscription fees for this calculation.
These limits do not apply to fraud, willful misconduct, gross negligence where exclusion is prohibited, or liabilities and remedies that cannot be limited under applicable law. They do not eliminate obligations to account for or return funds that lawfully belong to you. The limits apply only to the extent valid in the jurisdiction and circumstances of the claim.
15. Business responsibility for third-party claims
To the extent permitted by law, a business using the platform will defend and indemnify ARVL against third-party claims and reasonable resulting costs arising from that business’s unlawful conduct, material breach of these terms, infringing content, unauthorized personal-data use, or its independent fulfillment and staffing operations. This obligation does not cover claims to the extent caused by ARVL’s breach, negligence, fraud, or willful misconduct, or obligations that cannot legally be shifted.
ARVL will provide reasonably prompt notice and cooperation for a covered claim. No settlement may impose an admission, payment, ongoing duty, or restriction on ARVL without its consent, not to be unreasonably withheld. Any separate indemnity agreement controls on the same subject.
16. Disputes, notices, and general provisions
Contact hello@getarvl.com with a description of a dispute and the affected business or transaction so we can attempt a practical resolution. This process does not prevent urgent court relief, a regulatory complaint, or use of a non-waivable legal remedy. A separately signed agreement may specify governing law, venue, mediation, or arbitration. These general website terms do not create mandatory arbitration or waive a class-action right. In the absence of a controlling agreed provision, applicable law and the jurisdiction of a competent court determine those matters.
Neither party is responsible for delay caused by events beyond its reasonable control to the extent permitted by law, but this does not automatically cancel accrued payment obligations, excuse preventable failures, or eliminate legally required remedies. The parties remain independent entities. No agency, partnership, franchise, joint venture, or employment relationship arises solely from platform access.
If a provision is unenforceable, the remaining provisions continue to the extent they can lawfully operate. A failure to enforce a provision is not a waiver. An assignment must respect any restrictions in the governing agreement and applicable law. These terms, the applicable accepted enrollment, and any governing signed agreement form the agreement for their respective subjects. Changes apply prospectively with the notice and affirmative acceptance required by contract and law; continued access is not a substitute for consent where consent is required.
Send legal or service notices to ARVL, LLC at hello@getarvl.com, unless a governing agreement supplies another notice address. Keep your contact information current so we can deliver account, billing, and material service notices.
